The FAST Act streamlines the JOBS Act for Emerging Growth Companies

If you have not had time over the holidays to read Congress’ newly-minted 490 page “FAST Act” highway bill (Fixing America’s Surface Transportation Act), you may want to skip to page 472.

The FAST Act has a few added provisions pertinent to capital markets, start-ups & Emerging Growth Companies planning an IPO. These updates work on top of the JOBS Act (Jumpstart Our Business Startups).

Currently, via the JOBS Act, an Emerging Growth Company (EGC) – defined as a company with less than $1 billion in recent annual revenues –  must publicly file its IPO registration statement not fewer than 21 days prior to the start of its deal roadshow. Under the FAST Act, this window has been reduced to 15 calendar days.

Also, the FAST Act offers companies a slight “grace period” if during the lengthy IPO review process with the SEC, the company grows and generates more than $1 billion revenue threshold. They can finish the process as an EGC.

Finally, under the JOBS Act, EGCs are required to supply two years of audited financial statements within their initial confidential submissions or public filings of the S-1 registration statement. Much like “grace period” mentioned above, the FAST Act now permits companies to omit historical financial information if that information would not be required in a registration statement at the time of the deal roadshow. This simplifies the work for EGCs that would complete a fiscal year during the formal SEC review process.

  • Q: Can you please speak to XYZ’s dividend history – and frequency of dividend changes up or down)
  • Q: Can you speak to current valuation of XYZ – trading at a two year low. Sell side has price targets at 2X current price.
  • Q: Can you talk about interest rate risk in the investment portfolio. For example how would a 1 percent increase in rates affect the portfolio? Also has XYZ bought any company stock in the past quarter? If so how many shares?
  • Q: Are there plans to do business in counties other than US and Japan? Thank you
  • Q: How has the MARKETING CAMPAIGN marketing campaign increase sales?
  • Q: What is the next significant catalyst for XYZ?
  • Q: On a lighter note. “The Holiday marketing campaign” is becoming a familiar presence at Christmas. I am just curious on how much overall retail revenue the marketing campaign brings in annually?
  • Q: What is XYZ’s percentage goal for PIIGs investments?
  • Q: can you explain the drop off of earnings growth in 2012; what is your longer term growth rate projection.
  • Q: Are you able to discuss the expected change in number of policies due to Fukishima (sp). Simply put are you modeling for an increase in policy growth and subsequently long-term losses for your cancer insurance products (in Japan
  • Q: What changed? Benefit/claim ratios dropped. But why? The 10-K cites favorable claim trends and new more profitable products (Child endowment WAYS DAYS) that drove the claim ratio drop. What’s driving the favorable claims trend? Is it shortened in-patient hospitalization stays? Or is it a change in underwriting policy/pricing that XYZ Japan has driven?
  • Q: Your sales agents and brokers are commish only and not salaried correct?
  • Q: I heard that Japan only covers their people with health care til they are 70. Is this true? Do Japanese people buy XYZ to cover this?
  • Q: XYZ’s general account yield will decline next year as the company de-risks the portfolio. What sort of fixed income credits is XYZ looking to invest in going forward
  • Q: (YOUR COMPETITOR) now has a sizable presence in Japan after buying ABC’s DEF unit and plans to aggressively compete in the Japanese market. It appears DEF’s franchise was damaged somewhat due to the problems connected with ABC. This will change under the (YOUR COMPETITOR) umbrella. Do you view (YOUR COMPETITOR)’s entrance in the Japan market a major threat to your Japan business? How do you plan to compete against them?
  • Q: The product mix is changing at XYZ Japan. It seems some of the faster growing products like the child endowment product is less profitable. What are the catalysts to improve your benefit ratio in Japan?
  • Q: The Japan incident does not significantly affect XYZ’s business or financials is that correct?
  • Q: What do you think the next catalyst will be for XYZ (e.g. acquisition new market new product or service etc.)?
  • Q: Does XYZ plan to expand to any other Asian country such as China?
  • Q: What has been the dividend history for XYZ – how many quarters of payments
  • Q: What is your geographic split on revenues? Does XYZ operate in any other countries beyond US and Japan?

SEC closed on New Year’s Day: January 1, 2016

In honor of the New Year celebration, the SEC is closed on Friday, January 1, 2016.  No files can be received. 

NEWYEARS

Files submitted after 5:30 pm ET, Thursday, December 31, 2015 will receive a filing date of Monday, January 4th, 2016 and will be posted to the public on January 4th.

As with other holiday closings, the following file types will receive a Thursday, December 31, 2015 filing date if filed by 10:00 pm ET on Thursday:

  • Section 16 filings (3, 3/A, 4, 4/A, 5, 5/A)
  • Filings pursuant to Rule 462(b)

For any filing with a due date of Friday, January 1, 2016 , the SEC will move the due date to Monday, January 4th, 2016

M&A: experts’ checklist for negotiations

The M&A process provides dealmakers with several opportunities to enhance acquisition value — as well as pitfalls to destroy it. What defines good targeting, negotiating, due diligence and integrating?

Our experts identified five key lessons that acquirers should bear in mind in order to make the most of their negotiations.


ONE: Be prepared. “I’m always surprised that people don’t do much real preparation work for negotiations as they should,” says Moriarty. “They do the valuation work and things around financial projections — but they rarely consider what is actually in their counterpart’s head.”

Gemello agrees, particularly when it comes to cross-border dealmaking. “Gone are the days of the imperialistic buyer that just jams something down the throat of the seller,” he says. “I spend a lot more time with my clients getting smart about the target, about how they do business, about how they will operate and behave in the negotiation, just so we can clear out as much unnecessary noise as possible.”

TWO: Anchor away. Moriarty believes that putting the question to the other side first can give a psychological advantage when discussing terms around the table. “It’s important to make the first offer,” he says. “This is a concept called anchoring. If you make the first offer, the other side will often gravitate towards it. I’ve used it myself, and seen it used against us in negotiations. I’m surprised at how it effects people and it’s a very powerful tool.”

THREE: Friend, not foe. “M&A is inherently a social interaction,” says Gemello. “You’ve got to effectively build a bridge. As the world gets smaller, successful dealmakers have to bridge the social and cultural differences between parties, and take them into account when doing a deal.” This necessity means that meeting your counterparts in person takes on paramount importance.

“The heightened era of electronic connectivity puts a premium on face-to-face meetings. You can’t substitute for time together between principals to build relationships,” he says. “It’s the principalto- principal relationship that will carry the deal to success if it’s going to happen, and the business leaders negotiating the transaction at the highest level need to have trust between them so they can efficiently work through the deal.”

FOUR: Be upfront and honest. Facing the big tasks head on first can save you time down the line. “The biggest thing for me is pinpointing where the issues are, to the extent you can sooner rather than later, and getting those items out on the table for conversation.” If you have an opportunity to do that, you can get over the big hurdles early.” When doing this, however, it is vital that dealmakers are honest and open to compromise.

“Integrity is everything,” says Drazan. “Never say never unless you mean it.”

FIVE: Time is money. If you’re able to take your time through these processes, this can help value generation greatly. “If you have time on your side, you will benefit greatly from a valuation perspective,” says Motani. “I’ve been involved in auctions and direct sales, and while auctions can accelerate the time to closing, a direct deal usually results in a more buyer friendly purchase
